Corporate Governance

The structures or mechanisms that regulate Child Welfare South Africa are described in our Constitution and include:

General Assembly
The General Assembly is the highest decision making body of CWSA and provides strategic direction, guides policy, and focuses the work of the CWSA National Board. Meetings of the General Assembly are held every three years and attended by delegates representing the membership of CWSA countrywide.

National Board
The CWSA National Board is elected by the General Assembly and remains accountable to that body at all times. The Board is comprised of representatives of CWSA Provincial Boards; mainly volunteers who are active members of their local Child Welfare organisation who make time to support CWSA at both provincial and national levels.

The National Board is responsible for policy development, acting on resolutions made at the General Assembly that develops interim policy. The National Board appoints a National Executive Director who, with a national and provincial staff complement, is responsible for implementing all decisions. The National Executive Director is accountable to the National Board and ultimately to the General Assembly.

National Executive & Staffing Committee
This committee is comprised of office bearers, two Board members, a legal adviser and designated staff members and manages urgent matters between National Board meetings. The committee accounts to the National Board.

Finance Committee
This structure includes the treasurer, volunteers with credible financial experience and or expertise, CWSA’s National Executive Director and Finance Director and manages urgent finance matters between Board meetings.

Provincial Assemblies
In each province, CWSA members form a Provincial Assembly to discuss provincial issues and develop provincial policies in keeping with CWSA national policies.

Provincial Boards
CWSA Provincial Boards are made up of members of local child welfare organisations in each province, which are mainly volunteers, and assist CWSA on a provincial level. Provincial Boards identify issues affecting children in their province and, together with relevant role-players, develop plans for provincial child welfare services. Provincial Boards are advocates for children in their province.

CWSA Membership
Membership is extensive, varied and depends on the degree of organisation development. Thus a large, well established child welfare society could be a member, as well as any small community project in a rural area. Differences will occur in the CWSA service contracted for.

CWSA Code of Ethics

The Code of Ethics is based on a set of beliefs and responsibilities that prescribe the expected conduct of CWSA and its members in the following areas:

  • Governance
  • Accountability systems and mechanisms
  • Management and human resources
  • Fundraising
  • Finances and
  • Other resources.

In effect, the CWSA Code of Ethics represents a monitoring mechanism for good governance.
